User License Agreement (ULA)


Youtube API Services User License Agreement

This User License Agreement (“ULA”) is made by VideoMatePro to show the limits of Youtube API (“TOS”) of Android. Intending to be legally bound, we agree that the following terms and conditions will apply to the licenses and services provided under this Agreement.
All Terms of Youtube Developer API Terms and Conditions (“T&Cs”) set out the terms of use of developer tools and services, such as APIs, SDKs, scripts, widgets, API Key(s), API roles, access tokens, and developer web pages and documentation (collectively, the "Youtube API Platform"), published and provided by Youtube (“Youtube”), and give you a non-exclusive, non-transferable, non-sub licensable license to use the Youtube API platform, as they defined in their Terms and Services (“T&Cs”).
By using the Youtube API Platform, we expressly agree to be bound by all T&Cs as well as all other policies of Youtube, specifically including but not limited to Youtube’s general Terms of Use, Privacy Policy, and, if relevant, the General Terms of Use of the Partner Program (all collectively referred to as the “Youtube Policies”).
In using the Youtube API Platform, we represent and warrant that:
(a) All information we have provided and will provide to Youtube is true, accurate, and complete.
(b) We have not previously had a Youtube account which has been terminated by Youtube for breach.
(c) Our Developer API Product(s), its contemplated use, and our use of the Youtube API Platform will not violate the intellectual property rights or other rights of others, or violate any laws, rules or regulations.
We agree to comply with all applicable international and national laws, rules and/or regulations, all third-party rights, and all Youtube Policies. We shall not use the Youtube API Platform in a manner that violates such international and national laws, rules and/or regulations, third-party rights, and Youtube Policies, or in a manner that is fraudulent, unethical, deceptive, or misleading.
We agree that Youtube may monitor our use of the Youtube API Platform to verify our compliance with their T&Cs, to ensure quality, and/or to improve Youtube products and services. We agree that we shall not interfere with any such monitoring. We acknowledge that Youtube may use any technical means to overcome any such interference.
You assure that we will:
(i) Comply with the Youtube API Agreement at all times when accessing or using the YouTube API Services.
(ii) Only access (or attempt to access) the YouTube API Services to develop and operate our API Client(s) by the means described in the Agreement.
(iii) If our API Client is a software application, we and our API Client will also comply with the Google Software Principles. YouTube can suspend or terminate our access to, or use of, any aspect of the YouTube API Services if we violate the T&Cs of Youtube API Services.
We shall not accept the Agreement, or access or use the YouTube API Services, if:
(i) We are not of legal age to form a binding contract with Youtube.
(ii) We are a person barred from using or receiving the YouTube API Services under the applicable laws of the United States, or the country in which we reside, or the countries from which we or our API Client(s) access or use the YouTube API Services.
In using the Youtube API Services and in creating and operation our Developer API Product(s), we will not create functionality for our users or other third parties to:
·         Violate, encourage the violation of, or facilitate the violation of the Youtube API Policies.
·         Use, display, mirror, frame (including in meta-tags or hidden text), or reverse engineer the Youtube Websites, or any individual element of the Website, or the layout and design of any page or form contained on a page on the Website, without Youtube's consent.
·         Trick, confuse, defraud, mislead, or take advantage of users.
·         Circumvent or render ineffective any geographical restrictions or IP address-based restrictions.
·         Misrepresent identity when registering for use of the Youtube API Services, API Key, or API Secret.
·         Use the API Key or API Secret belonging to a different individual or entity.
·         Use the Youtube API Services to encourage or promote intellectual property infringement or the exploitation of intellectual property-infringing materials.
·         Permanently download or store copies of Youtube audiovisual content (“Youtube Content”).
·         Modify or replace the text, images, or other content of the Youtube search results.
·         Modify, replace or otherwise disable the functioning of links to Youtube or third-party websites provided in the Youtube search results or otherwise provided through the Youtube API Services or Youtube video player.
·         Modify, replace, interfere with or block advertisements placed by Youtube in the Youtube Content, or the Youtube video player.
·         Separate, isolate, or modify the audio or video components of any Youtube Content made available through the Youtube API Services.
·         Promote separately the audio or video components of any Youtube Content made available through the Youtube API Services or access any portion of any Youtube Content by any means (including via another video player) other than use of a Youtube video player.
In using the Youtube API Services and in creating and operation our Developer API Product(s), we hereby follow all terms of Youtube and shall not:
·         Sale of the Youtube API Platform, Collected Data, Youtube Content or related services, or access to any of the foregoing.
·         Sale of advertising, sponsorships, or promotions placed on or within the Youtube Content or Youtube video player.
·         Sale of advertising, sponsorships, or promotions on any page within the Developer API Product(s) that contains Youtube Content.






Dailymotion API Platform User License Agreement

All Terms of Dailymotion Developer API Terms and Conditions (“T&Cs”) set out the terms of use of developer tools and services, such as APIs, SDKs, scripts, widgets, API Key(s), API roles, access tokens, and developer web pages and documentation (collectively, the "Dailymotion API Platform"), published and provided by Dailymotion (“Dailymotion”), and give you a non-exclusive, non-transferable, non-sub licensable license to use the Dailymotion API platform, as they defined in their Terms and Services (“T&Cs”).
